Coworking & Flexible Space Membership Agreement

This Coworking Membership Agreement (the "Agreement") is entered into between Muslim Center Campus Works and Labs, a program facility of the Muslim Center / Diwan Collective ("Operator," "Campus Works," "we," or "us"), and the undersigned individual or corporate entity ("Member" or "you").
1. Member Registration & Primary Contact
Member registration details (name or entity, representative, billing address, email, phone, and commencement date) are collected on the checkout form and form part of this Agreement.

Dedicated Desk station numbers are assigned by Campus Works staff.
3. Nature of Agreement (Revocable License, Not a Lease)
3.1 Revocable License: This Agreement grants the Member a revocable, non-exclusive license to occupy and utilize shared premises and amenities in accordance with this Agreement. This Agreement does not create a lease, sublease, tenancy, or any real property interest. The relationship between the parties is strictly that of licensor and licensee.
3.2 Seat Availability & Reconfiguration: Hot desk seating is provided on a first-come, first-served basis without guaranteed positioning. For Dedicated Desk memberships, Operator reserves the right to reassign or adjust the desk workstation location upon seven (7) calendar days' written notice if operational necessity or spatial reconfiguration requires.
4. Term, Invoicing & Payment Mechanics
4.1 Recurring Dues: Monthly membership dues are payable in advance for each billing cycle. Annual memberships are prepaid for the full twelve (12) months.
5. Cancellation, Renewal & Revocation
5.1 Notice Requirement: Month-to-month plans may be canceled by either party upon delivering written notice at least thirty (30) calendar days prior to the start of the next recurring billing cycle. Annual memberships are fixed-term commitments and non-refundable.
5.2 Termination for Cause: Campus Works reserves the absolute right to immediately revoke access credentials and terminate this Agreement without refund if the Member breaches house policies, engages in unlawful conduct, causes physical property damage, or acts disruptively toward members, staff, or community visitors.
5.3 Move-Out & Abandonment: Upon contract expiration or termination, Member shall remove all personal property and surrender keys/badges. Property remaining after forty-eight (48) hours following departure shall be deemed abandoned and disposed of at Member's expense.
6. Operating Hours & Credential Control
6.1 Hours of Access: Day/Week pass holders and Basic Members have access Monday through Friday, 8:30 AM to 6:00 PM (excluding posted institutional holidays). Advanced and Dedicated Desk holders receive extended or 24/7 keycard access, subject to emergency building maintenance or community-wide assemblies.
6.2 Non-Transferability & Anti-Tailgating: Keycards and digital codes are issued strictly for individual member use. Lending credentials or admitting unauthorized individuals without staff check-in is strictly prohibited and constitutes grounds for immediate license revocation.
7. Community Standards & Facility Ethics
Campus Works operates as a professional, values-aligned community incubator within a multi-use civic center. All members agree to uphold a respectful, family-friendly, and dignified workplace environment:
- Prohibited Substances: Alcoholic beverages, cannabis, illicit drugs, smoking, and electronic vaping are strictly prohibited anywhere inside the facility or on campus grounds.
- Dining Etiquette: Only certified halal/kosher or vegetarian food items are permitted within shared pantries, kitchenettes, and dining spaces. Clean up personal dishes immediately.
- Acoustic Decorum: Hot-desk areas are reserved for quiet work. All virtual video calls and cellular phone conversations must be conducted inside acoustic phone pods or booked conference rooms. Headphones are mandatory for audio listening.
- Clean-Desk Principle: All hot desks must be wiped down and completely cleared of paperwork, cups, and laptops at the conclusion of each work session.
- Guest Protocol: Day and Basic members may meet visitors exclusively in common cafes. Dedicated members may host registered business guests up to 2 hours in booked rooms. Members are liable for guest conduct.
8. Information Technology & Network Acceptable Use
8.1 Network Availability: Enterprise broadband internet is provided on an "as-is" and "as-available" basis without warranty of uninterrupted service. Operator is not liable for service carrier interruptions.
8.2 Restricted Activities: Members shall not use facility connectivity for unauthorized access attempts, cryptocurrency mining, bulk spamming, torrenting, hosting unapproved external servers, or viewing unlawful or adult material. Excessive bandwidth usage that degrades overall network throughput may result in bandwidth throttling.
8.3 Data Protection: Members are solely responsible for installing security patches, personal firewalls, and data encryption. Campus Works maintains no responsibility for electronic compromises on shared networks.
9. Commercial Mail & Business Address License
Use of Campus Works' physical address as a corporate headquarters, commercial mailing destination, or state business entity registration is restricted exclusively to Dedicated Desk members in active standing or authorized Virtual Office add-ons. Hot-desk and day-pass members may not register or publish this facility address without prior written consent.
10. Assumption of Risk, Liability Limitation & Indemnity
10.1 Sole Risk of Property: All property brought onto the premises by Member, their employees, or invitees shall be stored at the Member's sole risk. Campus Works and its parent organization carry no insurance for Member's equipment, electronics, or confidential records, and disclaim all liability for theft, loss, vandalism, water damage, or electrical failure.
10.2 Recommended Insurance: Members are strongly urged to maintain adequate Commercial General Liability, Renter's Personal Property, and Business Interruption insurance coverage.
10.3 Limitation of Operator Liability: In no event shall Campus Works, its governing board, trustees, officers, employees, agents, or affiliates be liable to Member for any indirect, special, incidental, punitive, or consequential damages (including lost profits, lost business opportunities, or data corruption) arising out of this Agreement or the use of the premises. In all events, Operator's maximum aggregate liability shall not exceed the total membership fees actually paid by Member during the three (3) calendar months immediately preceding the date of the claim.
10.4 Indemnification: Member agrees to protect, defend, indemnify, and hold harmless Campus Works, the Muslim Center of Greater Princeton, Diwan Collective, and their respective trustees, directors, staff, and representatives from and against any and all claims, demands, liabilities, lawsuits, judgments, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from Member's or Member's guests' use of the premises, breach of this Agreement, or negligent acts or intentional misconduct.
11. Governing Law & Dispute Resolution
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of New Jersey, without giving effect to conflicts-of-law principles. Any legal suit, action, or proceeding arising under this Agreement shall be instituted exclusively in the state courts of competent jurisdiction located in Mercer County or Middlesex County, New Jersey.
12. Entire Agreement & Severability
This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior proposals, negotiations, or understandings. If any provision of this Agreement is held invalid, the remainder shall remain in full force and effect.
